Terms of Service (UAE).

These UAE Terms of Service ("UAE Terms") are issued by Metacircles Technologies Private Limited, a company incorporated under the laws of India and having its registered office at 2nd floor, InnoHouse, Plot no. 9, 4 Bay, Institutional Area, Sector 32, Gurugram, Haryana - 122001 ("Culture Circle", "Company", "we", "us"). These UAE Terms govern the access, use, and purchase of products through the Culture Circle UAE storefront available at culture-circle.com/ae and any related mobile interfaces (the "Platform"). By placing an order, browsing, or otherwise using the Platform from a UAE delivery address, you ("UAE Customer", "you") agree to be bound by these UAE Terms in addition to Culture Circle's general Terms & Conditions, Privacy Notice, Shipping Policy, Customs & Duties Disclosure, Payment Disclosure, and Returns Policy applicable to UAE orders. These UAE Terms reflect the operating reality that (a) Metacircles Technologies Private Limited is the contracting party for every UAE order, (b) ShipGlobal acts as the importer of record for cross-border shipments from India to the UAE, and (c) Razorpay International processes UAE customer payments in AED. Each of these arrangements is described further in the linked policies.

In these UAE Terms: a) "AED Price" means the price displayed in United Arab Emirates Dirhams on the Platform. b) "Landed Cost" means the AED Price inclusive of product cost, cross-border shipping, applicable UAE customs duty, and 5% UAE Federal VAT, all bundled at checkout. c) "Order" means a request placed by a UAE Customer to purchase one or more Products through the Platform. d) "Razorpay International" means the Razorpay International payment gateway used to process UAE Customer payments. e) "ShipGlobal" means the third-party logistics partner that acts as importer of record for cross-border shipments to the UAE. f) "UAE" means the United Arab Emirates. g) "UAE Customer" means a buyer with a delivery address in the UAE.

a) The Platform is intended for use by individuals who are 18 years of age or older and legally competent to enter into a binding contract under the laws of the UAE and India. b) Minors under 18 may browse and use the Platform only under the supervision of a parent or legal guardian. The parent or legal guardian agrees to be bound by these UAE Terms and assumes full responsibility for the minor's activity on the Platform, including all Orders placed in connection with the minor's use. c) The UAE Customer represents and warrants that the payment instrument used is lawfully held by them (or by the supervising parent / legal guardian), that the delivery address is genuine, and that the contact details supplied are accurate. d) Culture Circle reserves the right to refuse, suspend, or cancel any UAE Order where it has reasonable grounds to suspect fraud, prohibited-item content, sanctions exposure, or violation of these UAE Terms.

a) All prices on /ae are displayed in AED. The AED Price you see at checkout is the price your card is charged. Pricing mechanics, refund treatment, and bank-fee notes are set out in the Payment Disclosure (linked). b) Payments are processed by Razorpay International, which charges the card in AED. The UAE Customer's card-issuing bank may, at its discretion, apply a foreign-transaction fee or other surcharge based on Culture Circle's merchant domicile (outside the UAE). Such fees are charged by the bank, not by Culture Circle. c) By placing an Order, the UAE Customer acknowledges and accepts the Bank-Fee Acknowledgment set out in the Payment Disclosure.

a) Placing an Order on the Platform constitutes an offer to purchase the selected Product(s) on these UAE Terms. Acceptance occurs only upon dispatch by Culture Circle or its seller partners. b) Culture Circle reserves the right to accept or reject any Order, in whole or in part, at its sole discretion, including for stock unavailability, pricing errors, payment-verification failures, sanctions screening, or suspected fraud. c) Order dispatch and delivery are governed by the Shipping Policy (linked).

a) All UAE Orders are shipped from India through ShipGlobal, which acts as the importer of record into the UAE. b) The Landed Cost displayed at checkout includes UAE customs duty (where applicable) and 5% UAE Federal VAT. The UAE Customer is not charged separately by the courier on delivery. c) Detailed shipping zones, timelines, and the customs handling mechanism are set out in the Shipping Policy and the Customs & Duties Disclosure (linked).

a) UAE Orders are non-returnable except where the item arrives damaged, materially different from the order, or fails Culture Circle authenticity verification. Eligible returns must be reported within 48 hours of delivery with photographic evidence and an unboxing video. b) Size exchanges are not offered for UAE Orders. c) The full Returns Policy, including eligibility, refund mechanic, and statutory acknowledgements, is set out in /ae/returns. d) Nothing in these UAE Terms limits the UAE Customer's statutory rights under UAE Federal Law No. 15 of 2020 on Consumer Protection or any successor regulation.

Title to the Product(s) and risk of loss transfer to the UAE Customer at the point of physical delivery to the UAE Customer's nominated address by ShipGlobal's last-mile delivery partner.

a) Culture Circle's aggregate liability arising out of or in connection with any Order shall not exceed the AED amount paid by the UAE Customer for that Order. b) Culture Circle is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to: (i) customs delays, customs holds, or customs-rejection events (which fall within ShipGlobal's domain as importer of record); (ii) foreign-transaction fees or surcharges applied by the UAE Customer's card-issuing bank; (iii) delays caused by force majeure events as set out in clause 9. c) Nothing in these UAE Terms limits liability where such limitation is prohibited by mandatory applicable law.

Culture Circle shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, civil unrest, governmental actions, sanctions, embargoes, UAE customs holds, ShipGlobal carrier disruptions, internet or payment-gateway outages, and labour disputes. In such cases, the affected obligations shall be suspended for the duration of the event.

a) These UAE Terms are governed by the laws of India. b) Any dispute arising out of or in connection with these UAE Terms shall be referred to and finally resolved by arbitration seated in New Delhi, India, conducted under the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be in English. The award shall be final and binding. c) The UAE Customer expressly consents to this forum and arbitration mechanism by placing an Order on the Platform. d) This clause does not limit the UAE Customer's statutory consumer-protection rights under UAE Federal Law No. 15 of 2020, including the right to file a complaint with the relevant UAE Department of Economic Development.

For UAE Orders with a value at or above AED 10,000, Culture Circle reserves the right to request additional Know-Your-Customer (KYC) information from the UAE Customer, including identity proof and source-of-funds confirmation, in line with applicable anti-money-laundering norms.

a) Severability: If any provision of these UAE Terms is found to be invalid or unenforceable, the remaining provisions remain in full force. b) Entire agreement: These UAE Terms, together with the Privacy Notice, Shipping Policy, Customs & Duties Disclosure, Payment Disclosure, and Returns Policy, constitute the entire agreement between the UAE Customer and Culture Circle relating to UAE Orders. c) Amendments: Culture Circle may amend these UAE Terms at any time. Material amendments will be notified by email or by prominent notice on the Platform. Continued use of the Platform after amendments constitutes acceptance. d) Language: These UAE Terms are issued in English. Any translation is for convenience only; in case of conflict, the English version prevails.
